1. Definitions
1.1 “Company” refers to The TNG Designs Group Limited.
1.2 “Client” refers to the individual or entity engaging the services of the Company.
1.3 “Services” refers to all products and services provided by the Company, including but not limited to branding, design, strategy as well as incubator sessions, bundle packages, courses and social media content creation.
2. General
2.1 All quotes are valid for 30 days from the date of issuance. To secure the quoted price, a deposit must be made within this period.
2.2 Acceptance of a quote and payment of the deposit constitutes agreement to these Terms and Conditions.
2.3 The Company retains full ownership and copyright of all designs, branding, and creative materials until full payment is received.
2.4 Any design concepts, drafts, or unused ideas remain the sole intellectual property of the Company.
2.5 Where strategies, incubator sessions, or courses are concerned, the Client is granted a non-exclusive, non-transferable license to use the provided materials for personal learning and internal business strategy only.
2.6 Where strategies, incubator sessions, or courses are concerned, these materials may not be copied, shared, resold, distributed, or repackaged in any form for commercial purposes or third-party use without prior written permission from the Company.
2.7 For social media content bundles, the Client is granted a non-exclusive, non-transferable license to use and customize the provided materials for their own brand and marketing purposes only.
2.8 For social media content bundles, the Client may not resell, redistribute, or claim ownership of the original or modified designs, templates, or strategies without prior written permission from the Company.
2.9 Upon receipt of full payment, the Client and the Company will hold joint rights to use and showcase the final design.
2.10 Upon receipt of full payment, the Client may use the design for its intended purpose without restriction, while the Company retains the right to display the work in portfolios, case studies, marketing materials, and promotional content.
2.11 Upon receipt of full payment, neither party may resell, transfer, or claim exclusive ownership of the design without prior written agreement.
3. Payment Terms
3.1 For projects quoted under £557, all correspondence will be conducted via email, including design revisions.
3.2 For projects £557 and above, the Company will engage directly with the Client through Zoom or phone calls, applicable to design and artwork services. Strategy, brainstorm, and incubator sessions will involve direct participation from the Company.
3.3 A non-refundable deposit, equal to either a third or half of the total quoted amount (depending on the agreed instalment plan), is required before project commencement. The remaining balance is due before the final stages of artwork have been submitted.
3.4 If an installment plan is agreed upon, an administrative fee of 10% will be added to the total project cost.
3.5 The Company will provide specific dates for when payments are due.
3.6 If payment is not received by the agreed deadline, a late payment fee of 10% of the outstanding amount will be charged per week.
3.7 If payment is overdue by more than 30 days, then the Company reserves the right to engage debt collection agencies or take legal action to recover the amount owed.
3.8 The Client will be responsible for any additional legal or collection fees incurred.
4. Project Stages
4.1 First Design Stage
4.1.1 Upon receipt of the initial payment, the design process will commence.
4.1.2 The Client will receive the first draft either first via email or in an interim meeting to discuss design options and potential revisions.
4.2 Second Design Stage
4.2.1 Any requested changes will be addressed, and another interim meeting will be scheduled to finalise revisions.
4.2.2 At this point, by or during the Concluding Design Stage, any remaining balance must be paid, as indicated in the Client agreement with the Company.
4.3 Concluding Design Stage
4.3.1 A final meeting will be held to present the completed design.
4.3.2 Upon Client approval, all necessary digital file formats will be prepared.
4.3.3 The Client is responsible for proofreading and checking all content supplied to the Company.
5. Additional Work
5.1 Any further changes or additional items requested beyond the agreed scope may incur extra charges.
6. Cancellations and Refunds
6.1 In the event of project cancellation by the Client, any payments made up to that point are non-refundable.
6.2 The Company reserves the right to cease all work and withhold project materials if payments are not made as agreed.
6.3 If the Client cancels after project commencement but before final approval, an additional cancellation fee of 50% of the remaining balance will be charged to cover time and resources invested.
6.4 If a project is canceled after final approval, the full remaining balance will still need to be paid.
7. Complaints and Disputes
7.1 Any complaints should be addressed in writing to the Company.
7.2 The Company is committed to resolving complaints promptly and fairly.
7.3 Requests for discounts on agreed payments, especially after project commencement or completion, will not be entertained.
7.4 The Company reserves the right to take legal action if the Client refuses to pay the agreed amount, especially after the project has commenced or been completed.
8. Client Responsibilities
8.1 Clients should not expect social media content to go viral solely based on the Company’s efforts.
8.2 Active engagement by the Client on social media platforms is essential to achieve desired engagement levels.
8.3 The Company is not responsible for lack of results if the Client does not fulfil their responsibilities.
8.4 The Client must supply any key subject images and or logos necessary for the project to be completed which must be of good usable quality and clearly labelled where necessary.
9. Liability and Performance Disclaimer
9.1 The Company is not liable for any losses or damages incurred as a result of using its services.
9.2 The Company does not guarantee specific business results, such as increased revenue, client conversions, or viral content, as these depend on external factors beyond its control.
9.3 The success of any branding, marketing, or social media strategy requires active participation from the Client.
9.4 If the Client supplies any materials, including but not limited to information, fonts, images, worded quotes, statistics, or other content, they are fully responsible for ensuring they have the necessary rights, licenses, and legal permissions for their use within the project.
9.5 The Client is responsible for ensuring that any materials they provide such as images, fonts, quotes, or other copyrighted content are legally owned or properly licensed.
9.6 If any legal issues arise (e.g., a copyright claim) because of the materials the Client supplied, the Company won’t be held liable and the client must cover any costs, damages, or legal fees that result from the issue.
